1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and Badeca Springs Ltd, a private limited company registered in England and Wales ("Zenith," "we," "us"). By creating an account or using Zenith, you agree to these Terms. If you're using Zenith on behalf of an organization, you're agreeing on that organization's behalf and confirming you have authority to do so.

2. What Zenith is

Zenith lets you describe an app in plain language and generates working code for a small preview app based on your description, using a third-party AI model. You can optionally publish a project to a public URL and connect a custom domain to it. This is an early-stage product — features, limits, and pricing may change, and we'll make reasonable efforts to notify you of material changes.

3. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to create an account. You're responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at badecaspringsltd@gmail.com if you suspect unauthorized access.

4. Subscriptions, billing, and cancellation

Paid plans (currently Pro and Studio) renew automatically each month at the then-current price until you cancel. You can cancel any time from your dashboard's billing portal; cancellation takes effect at the end of your current billing period, and you keep paid-plan access until then. Refunds are considered on a case-by-case basis at Badeca Springs Ltd's discretion — we don't commit to automatic refunds for partial months or unused usage, but you're welcome to contact us about your specific situation. Prices are subject to change with notice before your next renewal.

5. Acceptable use

You agree not to use Zenith to:

  • Generate or publish content that's illegal, sexually explicit involving minors, or promotes violence, hatred, or discrimination against a protected group
  • Build phishing pages, scam pages, or anything impersonating another person or company
  • Attempt to bypass usage limits, extract another user's data, or interfere with the service's normal operation
  • Publish content that infringes someone else's intellectual property or violates their privacy
  • Use generated apps to collect sensitive personal data from visitors without appropriate disclosure and consent

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

6. Your content and generated code

You own the prompts you write and the code generated for you, subject to the underlying AI provider's own terms (currently Anthropic's usage policies, which you also agree to comply with). We make no guarantee generated code is free of bugs, secure, or fit for production use — review it before relying on it for anything important, especially anything handling payments or personal data.

You're responsible for what you publish. If you publish an app that collects data from its visitors, you're responsible for complying with applicable privacy law for that data — Zenith's own privacy policy covers Zenith's collection, not what your published app does.

7. Our intellectual property

The Zenith name, logo, and the Zenith platform itself (excluding your generated apps) are our property or licensed to us. These Terms don't grant you any rights to our trademarks or branding beyond what's needed to use the service normally.

8. Third-party services

Zenith relies on third-party providers to operate — currently including Anthropic (AI generation), Stripe (payments), Supabase (accounts and data storage), and Vercel (hosting and publishing). Your use of Zenith is also subject to being bound by those providers' own terms where applicable, and we aren't responsible for their outages or changes to their services.

9. Termination

You can stop using Zenith and delete your account at any time from your dashboard. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the service — we'll try to give reasonable notice except where we believe immediate action is necessary (e.g. abuse, security, legal requirement).

10. Disclaimer of warranties

Zenith is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the service will be uninterrupted, error-free, or that generated code will be secure or suitable for any particular purpose.

11. Limitation of liability

To the maximum extent permitted by law, Badeca Springs Ltd won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of Zenith, even if advised of the possibility. Our total liability for any claim arising from these Terms or the service is limited to the amount you paid us in the 12 months before the claim arose, or £50 if you're on the Free plan. Nothing in these Terms limits liability where it can't lawfully be limited — for example, for death or personal injury caused by negligence, or for fraud. [This cap amount is a reasonable starting default, not a legally required figure — confirm it with counsel, particularly whether UK consumer protection law requires any adjustment for your specific users.]

12. Indemnification

You agree to defend and indemnify Badeca Springs Ltd against any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your generated or published content, or your misuse of the service.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. [This is the standard default for a UK-registered company and is a reasonable starting point — but whether disputes should go through the courts of England and Wales (the default if you don't specify otherwise) or a named arbitration provider is a real choice with tradeoffs (cost, privacy, speed) that a lawyer should help you make deliberately, not by default. If most of your users are outside the UK, that's also worth discussing with counsel, since it can affect which consumer protection laws apply regardless of what this clause says.]

14. Changes to these terms

We may update these Terms as the product changes. For material changes, we'll make reasonable efforts to notify you (e.g. by email or an in-app notice) before they take effect. Continued use after an update means you accept the revised Terms.
